Bylaws (Adopted XXXX, 2007)

ARTICLE I. Name

The name of this Association shall be "Friends of KUSF."

ARTICLE II. Object

The object of this Association shall be to support the activities of KUSF-FM, owned and operated by the University of San Francisco.

ARTICLE III. Members

Section 1. Any adult person shall be eligible to membership in the Association, provided that such person be proposed by one member and seconded by another member of the Association. Voting upon the admission shall take place at the next regular meeting thereafter. A two-thirds vote shall elect to membership. **[SEE "NOTE ON MEMBERSHIP" IN ACCOMPANYING DOCUMENT.--JW]**

ARTICLE IV. Officers

Section 1. The officers of the Association shall be a President, a Chair, a Secretary, a Treasurer and three At-Large officers. These officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the Association.

Section 2. The officers shall be elected by ballot to serve for three months or until their successors are elected, and their term of office shall begin at the close of the meeting at which they are elected.

Section 3. No member shall hold more than one office at a time, and no member shall be eligible to serve more than two years or two consecutive terms, whichever is longer, in the same office.

ARTICLE V. Meetings

Section 1. The regular meetings of the Association shall be held on the first Tuesday of each quarter starting in January, unless otherwise ordered by the Association or by the Executive Board.

Section 2. Special meetings may be called by the President or by the Executive Board and shall be called upon the written request of three members of the Association. The purpose of the meet­ing shall be stated in the call. Except in cases of emergency, at least three days' notice shall be given.

Section 3. Five members of the Association shall constitute a quorum.

ARTICLE VI. The Executive Board

Section 1. The officers of the Association shall constitute the Executive Board.

Section 2. The Executive Board shall have general super­vision of the affairs of the Association between its business meet­ings, fix the hour and place of meetings, make recommendations to the Association, and shall perform such other duties as are spec­ified in these bylaws. The Board shall be subject to the orders of the Association, and none of its acts shall conflict with action taken by the Association.

Section 3. Unless otherwise ordered by the Board, regular meetings of the Executive Board shall be held on the first Tuesday of each quarter starting in January inclusive, preceding the regular meeting of the Association. Special meetings of the Board may be called by the President and shall be called upon the written request of any two members of the Board.

ARTICLE VII. Committees

Section 1. Such committees, standing or special, shall be appointed by the President as the Association or the Executive Board shall from time to time deem necessary to carry on the work of the Association. The President shall be ex officio a member of all committees except the Nominating Committee.

ARTICLE VIII. Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Association may adopt.

ARTICLE IX. Amendment of Bylaws

These bylaws may be amended at any regular meeting of the Association by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.
